STUDENT VIRTUAL EVENT 2023 TERMS AND CONDITIONS

 

  1. Student Virtual Event 2023:
    1. The Student Virtual Event 2023 held on March 31, 2023 from 3:00pm-6:00pm EDT (the “Event”) is an event to educate pharmacy students about the compounding pharmaceutical industry, current compounding pharmacists’ experiences as well as provide access and awareness to tools about pharmaceutical compounding. The Student Virtual Event 2023 is an event sponsored by Medisca and hosted by Medisca’s global partner, LP3 Network, via LP3 Network’s LMS Platform. By registering for the Event, Participant agrees to these Terms and Conditions, which are in addition to the terms and conditions and privacy policy detailed at www.lp3network.com/terms-and-conditions and www.lp3network.com/legal, respectively. Medisca and LP3 Network reserve the right to modify these Terms and Conditions at any time at their sole discretion and without any notice. Medisca and LP3 Network may also, in their sole discretion, change, cancel, suspend, or modify any aspect of the Event without notice. Medisca and LP3 Network reserve the right to disqualify any Participant at any time from participation in the Event.

 

  1. Definitions:
    1. “Attendee” means an individual that is not an Entrant and attends the Event.
    2. “Entrant” means a student enrolled in a pharmacy program located in the United States of America or Canada (excluding the Province of Quebec) that (i) submits the Registration Form; and (ii) logs in to and participates in the Event.
    3. Grand Prize” means registration to LP3 Network’s “The Science of Pharmaceutical Compounding: Non-Sterile Training Seminar” program for Entrants designated the National Competition Winners.
    4. “LMS Platform” means LP3 Network’s learning management software.
    5. “LP3 Network” means LP3 Network Inc.
    6. “Medisca” means Medisca Pharmaceutique Inc., and its affiliates and subsidiaries, including but not limited to Medisca Inc. and Medisca Australia Pty Ltd.
    7. “National Competition Winners” means Entrants that participated in and won a competition consisting of an elevator video pitch and clinical assessment, submitted to Medisca for grading.
    8. “Participant” means, collectively, an Attendee and/or Entrant.
    9. “Pizza Lunch” means a free lunch, up to $500USD, for the Winning School that has the most registered Entrants at the event.
    10. “Prizes” means ten (10) LP3 Network 1-Year Subscriptions valued at $250USD each, distributed amongst the top ten (10) winning Entrants of a contest at the Event.
    11. “Registration Form” means the Student Event 2023 – Registration Form.
    12. “Terms and Conditions” means these Student Virtual Event 2023 Terms and Conditions.
    13. “Winning School” means the college or university located in the United States of America or Canada (excluding the Province of Quebec).

 

  1. Eligibility
    1. No purchase is necessary to qualify. In order to qualify for the Grand Prize, Pizza Lunch and/or Prizes, the Entrant must provide a valid college or university email address in the Registration Form. Such college or university email address will be used: (i) to confirm active student status; (ii) to calculate the number of Entrants from a specific college or university in order to determine the Grand Prize winner; and (iii) as the unique identifier for the contest portion conducted through the Kahoot! Platform. Entrant represents and warrants that it is an active student in good standing in a pharmacy program. In order to participate in the Event, Participant must provide a valid email address in the Registration Form.
    2. Medisca and LP3 Network, at their sole discretion and for any reason, reserves the right to reject any entries into the Event. Medisca and LP3 Network will determine, in their sole discretion, whether a Participant completes the process in accordance with these qualified Terms and Conditions. Medisca and LP3 Network reserves the right to investigate any suspicious or inappropriate activity relating to the Event. Notwithstanding any provision of these Terms and Conditions, Medisca and LP3 Network are not obligated to fulfill any prizes if determined, in their sole discretion, that (a) the process completed by a Participant is not a bona fide transaction; (b) Participant has engaged in any fraudulent or deceitful behavior in connection with the Event, including without limitation, directly or indirectly, offer any person a financial or other incentive to complete the process; or (c) are obtained through any party other than Medisca or LP3 Network, including, but not limited to, third party sites. In no case is Medisca or LP3 Network, their respective subsidiaries or affiliates, suppliers, or other employees, agents, or representatives obliged to award a greater number of prizes than indicated in these Terms and Conditions, or issue any prizes other than what is in accordance with these Terms and Conditions.

 

  1. Prizes
    1. The Prizes may only be redeemed by an Entrant. Limit of one (1) Prize per Entrant.
    2. During the Event, Medisca and LP3 Network may host a trivia contest via the Kahoot! platform, at Medisca and LP3 Network’s discretion, which may also include Prizes. The winners of the Prizes will be automatically tabulated by the Kahoot! platform and verified by Medisca and/or LP3 Network to ensure the winners have met the eligibility requirements as an Entrant. Such Prizes will be distributed to the winning Entrant’s during the Event by displaying the Entrants name during the Event and will be contacted by an LP3 Network representative by April 7, 2023 for more information to receive its Prize.
    3. Participant acknowledges that Kahoot! Is a third party and Medisca and LP3 Network cannot be held liable for the accuracy or inaccuracy of the results of Kahoot!. Participant further acknowledges that Kahoot! has its own privacy policy and terms of use and Medisca and LP3 Network encourage the Participant to review such terms. By participating in the Event, Participant agrees and consents to the sharing of Participants information to third party vendors, such as but not limited to Kahoot!.
    4. Participant acknowledges and agrees that any Prizes awarded to it during the Event that require travel or additional expenses shall be the sole cost and expense of Participant. For further clarity, any Prize awarded during the Event shall not include travel and accommodation costs, meals and any other expenses resulting therefrom and shall be the sole responsibility of the Participant.

 

  1. Grand Prize:
    1. LP3 Network may offer the Grand Prizes to the National Competition Winners located in the United States of America or in Canada (excluding the Province of Quebec). Entrant must provide a valid student email and provide its college or university’s name in order to qualify its college or university for the Grand Prize. The National Competition Winners will be announced during the Event and will be contacted by April 7, 2023 by an LP3 Network representative. The National Competition Winners must confirm acceptance of the Grand Prize within seven (7) days of notice in order to receive the Grand Prize. The Grand Prize must be implemented by the National Competition Winners no later than December 31, 2023.

 

  1. Pizza Lunch:
    1. Medisca may offer one (1) Pizza Lunch to a Winning School in the United States of America or in Canada (excluding the Province of Quebec). Medisca will determine, at its sole discretion, the Winning School based on number of registered Entrants. The Winning School will be announced during the Event and will be contacted by April 7, 2023 by a Medisca representative. The Winning School must confirm acceptance of the Pizza Lunch within seven (7) days of notice in order to receive the Pizza Lunch. Upon confirmation from the Winning School, Medisca will either issue an Uber Eats gift card in the amount of $500USD to the Winning School or, if requested by the Winning School, request Medisca to place an order at a restaurant of the Winning Schools choosing, no later than May 31, 2023.

 

  1. Live Streaming Event:
    1. By participating in the Event, Participant understands and acknowledges that it will be forwarded via a respective link to a third party service provider, to which Participant will be subject to such third party’s terms and conditions. Participant further understands and acknowledges that such third party provider may require Participant to use, without limitation, additional hardware and/or software, internet access and/or bandwidth, and/or telephone use in order to participate in the Event. Medisca and LP3 Network cannot be held liable for any third party’s use of Participants personal information, nor any additional technology requirements or financial liabilities incurred by Participant resulting from Participant’s access to the Event through third party sites. For more information about how Medisca and LP3 Network collects, uses, stores, and shares Participant’s personal information, please review LP3 Network’s privacy statement at www.lp3network.com/legal.
    2. Participant acknowledges that Medisca and LP3 Network may record the live stream Event using third party services for marketing, resale and/or quality assurance purposes. Such recording may contain visual and/or audio recordings of the Participant. By participating in the live stream Event and choosing the video and/or audio option, Participant consents to Medisca and LP3 Network’s use of the video and/or audio recordings of the Participant, further described herein. Participant further consents and acknowledges that Medisca and LP3 Network shall own all video and/or audio recordings of the Participant and Participant hereby waives any right to inspect or approve the use of the video and/or audio recordings, all copyright and moral rights, and any right to royalties or other compensation arising from or related to the use of the video and/or audio recordings.   1. Liability, Warranty and Indemnification:
    1. Release: By participating in the Event, Participant releases Medisca and LP3 Network, and their respective agents from all liability, including, without limitation, for loss, harm, damages, costs or expenses arising out of or in any way connected to the Event and/or the participation in the Event. Additionally, Participant acknowledges that Uber Technologies, Inc. and its subsidiaries, representatives, affiliates, officers and directors (“Uber”) are in no way, directly or indirectly, responsible for the Pizza Lunch nor is Uber affiliated with the Event. Participant shall not hold Uber liable for any representations made by Medisca and/or LP3 Network in relation to the Event.
    2. Warranty: Participant acknowledges that the Event is being provided on an “AS IS” and “AS AVAILABLE” basis. MEDISCA AND LP3 NETWORK DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PARTICIPANT MUST PROVIDE ITS OWN DEVICE AND INTERNET ACCESS. FURTHERMORE, MEDISCA AND LP3 NETWORK MAKE NO REPRESENTATIONS OR WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) THAT THE EVENT, OR ANY PART THEREOF, WILL BE AVAILABLE OR PERMITTED IN PARTICIPANT’S JURISDICTION, UNINTERRUPTED OR ERROR-FREE, COMPLETELY SECURE, OR ACCESSIBLE FROM ALL DEVICES OR BROWSERS; (B) CONCERNING ANY CONTENT SUBMITTED BY OR ACTIONS OF THE USERS; (C) THAT THE EVENT WILL MEET PARTICIPANT’S NEEDS; (D) THAT MEDISCA AND LP3 NETWORK WILL CONTINUE TO SUPPORT ANY PARTICULAR FEATURE OR MAINTAIN BACKWARDS COMPATIBILITY WITH ANY THIRD-PARTY SOFTWARE OR DEVICE; OR (E) CONCERNING ANY THIRD-PARTY WEBSITES AND RESOURCES.
    3. Indemnification: Participant agrees to indemnify, defend and hold Medisca and LP3 Network and their respective agents harmless from and against any and all third party claims, demands, liabilities, costs or expenses, including attorneys’ fees and costs, arising from, or related to, any breach by the Participant of any of these Terms and Conditions or any violation by Participant of applicable law.

 

  1. Disclaimer:
    1. Medisca and LP3 Network reserve the right to cancel or suspend the Event, in whole or in part, should it be determined, in their sole discretion, that the administration, security, or fairness of the Event has been compromised in any way. Medisca and LP3 Network retain the right to terminate and disqualify a Participant at any time from participating in the Event for any reason. Medisca and LP3 Network also retain the right to modify or discontinue the Event at any time, with or without notice. In such an event, Medisca and LP3 Network will not be liable to Participant.
    2. Participant acknowledges that the information presented during the Event is for educational purposes only. Any statements or information provided by any speaker during the Event is solely the views of the speaker and do not represent the view of Medisca and/or LP3 Network.

 

  1. Third Party Sites:
    1. By participating in the Event, Participant acknowledges that Medisca and LP3 Network may transfer its personal information, such as name and address, to third party providers in order for Medisca and LP3 Network to fulfill their obligations hereunder. Medisca and LP3 Network encourage Participant to review third party websites terms and conditions and privacy policies to understand how Participants personal data is processed.

 

  1. Severability:
    1. If any provision of these Terms and Conditions is declared void or unenforceable, such provision shall be severed from these Terms and Conditions, which shall otherwise remain in full force and effect.

 

  1. Governing Law:
    1. Unless otherwise prohibited by law, these Terms and Conditions shall be governed by, and construed in accordance with, the laws of the State of New York, United States of America, for all purposes herein, without regard to or application of its conflict of law principles. The parties hereto hereby submit and consent to the exclusive jurisdiction of the courts of the State of New York, United States of America Whenever possible, disputes arising hereof may be settled by common consent or mediation.
